This agreement (“Agreement”) is made effective on

CRM Solution (“Contractor”)

1. Services Required


1.1 The Contractor shall provide the Client with the services selected by the Client from the following options:

The Services shall commence upon receipt of payment. The project shall be completed using templates as per the package/agreement. The Contractor shall invoice the Client for any additional work or additional hours over and above those allocated in the package. The Client shall have two revisions on all work unless advised otherwise in writing. All changes and amendments shall be logged and cannot be altered once loaded onto the system. The Client and the Contractor shall respond within a reasonable time once the project has commenced. Any unforeseen costs shall be discussed and agreed upon once they arise.


2.2  Subscription Fee


The Client acknowledges that a monthly subscription fee is required for the use of the Contractor's CRM System. Fees are payable every month, with the first charge being immediate upon signing of this Agreement.


2.3  Invoicing and Payment


Invoices will be sent on the 25th of each month, and payment is due no later than the end of that month. The Client is responsible for ensuring timely payment of the monthly subscription fee and any associated activation fees or any additional fees as per clause 2.7.


2.4  Payments/ Termination


The Client agrees to pay the Contractor the fees set forth in the contract within the stated payment terms. Late payments of over 30 days will result in an activation fee to reactivate the CRM system. Failure to make payment for 30 days will result in the termination of all work unless alternative payment arrangements have been agreed upon in writing. No payment will be subject to collections.
The Contractor reserves the right to terminate the work immediately and take appropriate legal action if the Client breaches the payment terms or any other terms of this Agreement.
In the event of termination, the Client shall pay the Contractor for all services rendered up to the date of termination, including any additional expenses incurred due to the termination.
The Client shall not withhold any payments due to the Contractor for any reason whatsoever, including, but not limited to, dissatisfaction with the services rendered by the Contractor.
The Contractor shall have no liability or responsibility to the Client or any third party for any damages or losses arising from the termination of the work due to the Client's failure to make payment in accordance with the payment terms set forth in this Agreement.


2.5  Additional Charges


Any additional charges for new features or integrations not included in the initial contract will be communicated to the Client in advance, and the Client's approval will be required before implementation.


2.6  Premium Features


 The Contractor offers premium features, which include ChatGPT, Zapier, Google Sheets, and other web-based services, through subscription plans that require a minimum monthly payment. Additional Usage-based fees, such as charges per word or per zap, may also apply depending on the plan chosen. The Client is encouraged to review the Contractor's pricing plans and terms of service to understand the costs associated with using the premium features. 


2.7  Support and Training


 The monthly subscription fee grants the Client access to all of the services and software within the CRM System but does not include any support or training services as standard. The Contractor offers support and training services at an additional cost. The Client may also choose to purchase one of the Contractor's hourly support packages, which provide a set amount of support time. Support videos are also available on YouTube to assist the Client with the use of the Contractor's software. These videos cover a wide range of topics and are designed to provide the guidance necessary to make the most of the system. Additional 24/7, Chat and Live Chat is available but is not part of the standard packages.


2.8  Email, SMS


Any additional emails or SMS messages sent beyond the scope of the agreed package shall be charged at an extra cost. Additionally, the Contractor shall not be held responsible for any excessive emails sent by the Client which may result in the Client's email account being blocked or emails being directed to the recipient's spam or junk folders.


2.10 Third-party Applications


Third-party applications are not covered by this agreement, and any rules or regulations imposed by the third-party application will be subject to their terms and conditions. CRM Solution shall not be held responsible for any issues or liabilities arising from the use of third-party applications. Payments due to third-party applications shall be the responsibility of the Client and are not included in the fees charged by CRM Solution for the Services provided.


3. Design.


The Client acknowledges that the Contractor utilises pre-designed templates and any customised templates will be subject to additional charges. The package does not include any writing, copywriting, or copyright work, and any such work completed will be charged additionally. Additionally, the package does not include any images, and any images provided by CRM Solution will be charged additionally.


4. Hours of Operation.


The Contractor agrees to be available to provide services during normal business hours. Any services requested outside of normal business hours will be subject to additional charges.


5. Termination


The Contractor reserves the right to terminate the Agreement and suspend access to the CRM system in the event of non-payment. It is the Client's responsibility to maintain current payment information and ensure that payments are made on time to avoid service disruptions.


5.1  Termination and Notice


Either party may terminate this Agreement with one (1) month written notice to the other party. The notice shall be sent via certified mail, email, or other verifiable means. Upon termination of this Agreement, the Client shall pay for all Services rendered up to the date of termination. The Contractor shall have no further obligation to provide Services beyond the date of termination, and any outstanding payments shall be due immediately.
A download shall be made available on contacts created (First Name, Last Name, Email and Phone number). The Client has the option to upgrade or downgrade to any package or service to keep the domain/website active (if applicable).


6. Ownership of Work


The Client acknowledges that any materials resulting from work performed by the Contractor shall be owned by the Client subject to clause 5. However, the Contractor may use certain materials for reference or for their portfolio, provided that they first obtain the Client's consent.


7. Confidentiality and Non-Disclosure


Both the Client and the Contractor shall handle confidential information in accordance with the special restrictions set forth in this Contract. The Contractor and Client shall not use any information provided by the Client for personal benefit or disclose or communicate any confidential or proprietary information about the Client, including but not limited to trade secrets, customer lists, contacts, financial data, sales data, supply sources, business opportunities for new or developing business, plans and models, or trade secrets unless required to do so by law.


8. Entire Agreement


This Agreement contains the entire agreement between both parties, and there are no other promises or conditions in any other agreement, whether oral or written. Both parties acknowledge having read and understood this agreement, and both agree to abide by the terms and conditions contained within this document, as well as the complete privacy policy and terms and conditions. These terms and policies will form part of the agreement.


10. Agreement Validation


Upon receipt of a signed contract and payment of the required invoice, the work will commence as agreed upon in the terms of the contract. The client agrees that the signing of the contract and payment of the invoice serves as validation of their acceptance of the terms of the contract, and that they have read and fully understand all terms and conditions outlined within.
